Senior Counsel – Transactions

Required Qualifications (as evidenced by an attached resume):
J.D (Juris Doctor) degree from an accredited ABA law school. Admission to the New York State Bar (or eligibility for admission within six months) and a strong academic background. Five (5) years of legal experience, including an extensive background handling complex transactional matters including mergers and acquisitions, joint ventures and service agreements.
Preferred Qualifications:
Prior legal experience in the area of health law. Prior in-house experience in higher education or at an academic medical center and/or hospital setting is a plus. Excellent legal analysis, legal writing and editing, and oral advocacy skills. Comfort with and experience using technology to complete legal work, including knowledge of and experience with various computer software programs and case management and electronic discovery platforms. Proven record of ability to undertake complex legal issues, and capacity to serve as a creative thinker and problem-solver able to negotiate creative solutions to complex problems.
About the Office of General Counsel
The Office of General Counsel (“OGC”) provides legal services and support to the State University of New York (“SUNY”) Board of Trustees, the Chancellor and senior officers in System Administration at Albany, New York, and the presidents and administrators of the campuses within the System. Under the leadership of the Senior Vice Chancellor for Legal Affairs and the General Counsel, the OGC is responsible for providing legal services to the System and the 29 state operated campuses. The OGC consists of 45+ experienced higher education attorneys, paralegals and support staff located in Albany at the System Administration headquarters and in campus-based offices at the four University Centers, Health Science Centers, and various SUNY colleges. The legal practice of the OGC involves a substantial array of topics, including public procurement, governance and ethics, legislation, health care, capital construction, public finance, labor grievances and arbitration, litigation oversight (the New York State Office of the Attorney General defends litigation brought against SUNY), student affairs, and the use of real property. The OGC represents SUNY in interactions with State officials who may regulate the affairs of the University, including the Attorney General, State Comptroller, the Governor and staff, and members of the State Legislature and staff as well as other state and local agencies and related entities.
Brief Description of Duties:
The OGC Satellite Office located at Stony Brook University in Suffolk County, New York invites applications for the position of Senior Counsel – Transactions. As a member of the OGC, the Senior Counsel – Transactions will work closely with other OGC attorneys to provide legal services to SUNY clients on issues related to complex transactions, including hospital physician compensation and recruitment arrangements, provider-based agreements, and joint business ventures.

Duties:

The position reports directly to the Chief Campus Counsel, and will not have direct reports. The candidate will provide legal advice to clients at the University, including the University Hospital, and will be expected to handle and oversee a broad range of law assignments, including:

  • Serving as a lawyer/legal advisor on all major transactions involving Stony Brook University including Stony Brook University Hospital, Stony Brook Southampton Hospital, Stony Brook Eastern Long Island Hospital and Long Island State Veterans Home (LISVH); providing leadership and guidance with an emphasis on identifying creative solutions for a diverse range of complex legal issues.
  • Analyzing and providing advice on (identifying pertinent issues of concern, risks and conflicts) and drafting and negotiating all complex transactions, including mergers and acquisitions, joint ventures, corporate structure and reorganization, and other corporate transactions and governance matters for the University, LISVH and the Hospitals.
  • Advising and counseling on issues affecting corporate formation and dissolution.
  • Review and negotiate agreements with major suppliers, service providers, and research partners.
  • Work closely with stakeholders within clinically integrated networks, and related entities.
  • Provide legal guidance regarding physician transactions/employment.
  • Communicating as needed with external regulators (i.e. AG/OSC/DOB) to respond to and resolve complex issues.
  • Other duties or projects as assigned as appropriate to rank and departmental mission.

Special Notes:
This is a Management Confidential position. This is a full-time appointment. FLSA Exempt position, not eligible for the overtime provisions of the FLSA. Minimum salary threshold must be met to maintain FLSA exemption. 

This position will be based on-site working in Stony Brook, New York.
