Minimum Qualifications

Law degree (JD) from accredited institution, admission in good standing to the KY Bar Association or eligibility for admission within 6 months. 5 years of experience as a practicing attorney. Additional experience may not be used on a one-to-one basis to offset the educational requirements. The university offers market competitive salary and benefits. Grade ADM.

Preferred Qualifications

Preferred qualifications include experience in a higher education, non-profit or governmental agency in processing contracts or alternatively in private practice or as in-house counsel negotiating and drafting contracts in a variety of operational areas, such as multi-party transactions, land leases, government research contracts, vendor agreements, personal services contracts, and gift agreements, in the context of higher education or a governmental entity. Familiarity with the Kentucky procurement law and tax law and knowledge of intellectual property ownership and licensing and software/technology licensing are desirable.

Position Description

This is an Assistant University Counsel position which will report directly to the Associate Vice President (AVP)/Deputy Counsel with day to-day direction from and collaboration with the senior university counsels at the University of Louisville. The attorney will be expected to provide legal advice on a wide range of legal matters, with a primary focus on overseeing contract matters in accordance with federal and state law applicable to governmental and state agency contracting. The attorney drafts, reviews and edits contracts to protect the University's interests and to meet the requirements of applicable law, including any requisite review and approval by the Kentucky Cabinet for Finance & Administration and the Kentucky legislative Contract Review Committee. Such matters will include finance agreements, contracts between the University and its vendors, suppliers, and service providers as well as construction contracts, complex real estate transactions, gift agreements, employment agreements, and academic memoranda of understanding. The attorney will also be responsible for understanding when Board approval is needed for certain agreements and drafting any Board resolutions and recommendations associated with proposed agreements.

Essential Duties and Responsibilities

  • Provide management and oversight of contract matters for the University.
  • Review, negotiate and provide legal advice on University of Louisville and affiliated entity contract matters in accordance with federal and state law applicable to governmental and state agency contracting.
  • Under the direction of the AVP/Deputy Counsel, provide leadership, management, and oversight of all contractual matters for the University.
