Summary of Job Duties:

The Associate General Counsel position will collaborate with other attorneys in the Office of General Counsel both on the UAMS campus and within the broader University of Arkansas System. The attorney will review, draft and negotiate university research related contracts, grant agreements, and corresponding legal documents vetted through the Winthrop P. Rockefeller Cancer Institute and the Office of Research and Sponsored Programs (ORSP). Consult and work with university researchers, HIPAA office, research compliance, regulatory affairs, export control officer, budget and Medicare coverage reviewers, hospital compliance and billing, procurement, the Institutional Review Board, and the university technology transfer office.
Responsibilities
· This position requires thorough understanding of contract, intellectual property, and privacy law, as well compliance with HIPAA and FDA regulations. It requires seasoned legal negotiation skills, the ability to work with a diverse population, and the ability to provide direction to contracts administrators.
· Serve as primary liaison to biomedical industry partners and government agencies involved in fundamental and human subject research.
· Review, draft, negotiate contracts such as sponsored clinical trial agreements, collaborative research agreements, material transfer agreements, confidentiality agreements, data transfer/use agreements, grant agreements, informed consent forms, budget exhibits, software licenses, and other agreements and documentation related to research.
· Provide transactional risk assessments and risk mitigation recommendations when appropriate.
· Assist the Winthrop P. Rockefeller Cancer Institute and Office of Research and Sponsored Programs (ORSP) in providing service to faculty and external entities interested in supporting research at UAMS.
· Coordinate project workflows and approval processes with internal stakeholders for human subjects research, clinical trials, and related contracts.
· Assist UAMS personnel with maintaining compliance with UAMS policies, state and federal law and government regulations pertaining to research contracts.
· Provide training for UAMS personnel and recommend policies and procedures to UAMS and the University of Arkansas (UA) System on emerging issues in research and health, privacy, contracts, and intellectual property law.
· Interacts with UAMS researchers, administrative staff, and outside counsel.
· Constant interaction with external domestic and international entities (including universities, foundations, and various for profit and nonprofit sponsors and contract research organizations) at various levels including directors/CEOs, attorneys, contract managers, and administrators.
· Perform other duties as assigned.

Qualifications:

Minimum qualifications:

  • J.D. or equivalent degree from an accredited American Bar Associate Law School.
  • Three (3) years of experience (subject to waiver for exceptionally relevant experience) in the private practice of law or with a corporation, governmental agency or similar organization handling contract negotiations.
  • License to practice law or admission to practice in the State of Arkansas.

Preferred qualifications:

  • Undergraduate or graduate degree in science or medical field.
  • Experience in healthcare, research, intellectual property, compliance or privacy law.
  • Knowledge of patent and copyright laws and ability to negotiate intellectual property terms.


Salary Information:


Salary offered commensurate with experience.
