Assistant General Counsel - Contracts

Provides legal advice and serves as in-house counsel to Strategic Education on a wide variety of matters.

Essential Duties & Responsibilities:

  • Primary responsibility for negotiating and drafting a variety of contracts such as agreements with vendors, consultants, technology providers, employees, and corporate clients/alliances
  • Collaborate with cross-functional teams, including internal subject matter experts and business leaders, during contract review process
  • Contribute to management and optimization of a contract review process that ensures comprehensive review to protect Company’s interests while also ensuring speed and efficiency
  • Assist with litigation and administrative proceedings involving contracts and commercial disputes
  • Investigate legal issues and recommend action, primarily related to the Company’s contractual obligations
  • Assist with general corporate matters
  • Provides legal and compliance training to in-house clients

  • Excellent interpersonal skills.

  • Strong computer/word processing skills, including knowledge of standard Microsoft Office products such as Word, Excel, PowerPoint, and Outlook.

  • Ability and willingness to apply independent judgment in a dynamic environment.

Work Experience:

  • At least three years of experience in the practice of law.

  • Experience in negotiating/drafting contracts preferred
  • Experience with contract management software preferred
  • Experience with SaaS contracts preferred
  • Higher education experience preferred.

Education:

  • Bachelor’s degree and JD from an ABA-accredited law school.

Certificates, Licenses, and registrations

  • Bar admission in one or more of the following jurisdictions: Virginia, Minnesota, Maryland, or Washington, DC.

Other:

  • Must be able to travel 10% of the time.

  • Must be able to lift 25 lbs.

  • Typical office setting.

  • Mobility within the office including movement from floor to floor.

  • Travel via plane, car, and metro may be required to perform this job.

  • Must be able to work more than 40 hours per week when business needs warrant.

  • Access information using a computer.

  • Effectively communicate, both up and down the management chain.

  • Effectively cope with stressful situations.

  • Strong mental acuity.

  • Regular, dependable attendance and punctuality are essential functions of this job. 

  • Other essential functions and marginal job functions are subject to modification.
