About the Role 
The University of Melbourne is seekinga skilled governance professional to provide comprehensive support for its subsidiary companies and other key governance activities. As a Senior Governance Officer, you will serve as the company secretary for designated subsidiary companies, offering vital advice and support to Boards and Board Committees, particularly regarding ASIC and ACNC requirements. Your responsibilities include ensuring compliance with reporting requirements, assisting in the preparation of annual and half-yearly reports, and coordinating general meetings. Additionally, you will provide guidance on the application of the University's legislation and policy framework, contribute to Council elections and director inductions, and develop governance resources for the University community.  

These positions, reporting to the University Secretary within the Chief Operating Officer portfolio, offer a distinctive chance to collaborate closely with board members, executives, and senior leaders, providing a valuable platform to accelerate your career in governance. 

Key responsibilities will include: 


  • Supporting designated governance committees, subsidiary companies and their directors in exercising their roles and delegated responsibilities

  • Performing the duties and responsibilities of a company secretary as required by the Corporations Act

  • Working with a range of stakeholders across the University to support implementation of governance decisions and the implementation of relevant processes

  • Interpreting, applying and explaining policies and complex rules arising from University legislation and any external requirements, including ASIC and ACNC requirements


Who we are looking for
We're seeking two governance professionals with strong interpersonal and communication skills. Your organisational, analytical, and problem-solving abilities are crucial for success in this role. Additionally, your adaptability and willingness to tackle new challenges, adjusting plans to align with evolving priorities and directions, are highly valued. 

You will also have:


  • Prior experience as a company secretary with exposure to a full spectrum of company secretarial duties, and or relevant work experience in university/company governance

  • Demonstrated experience in interpreting, applying, explaining and developing policies, guidelines, procedures and complex rules 

  • Law degree, AICD or other company secretary qualification (desirable)
